Terms and Conditions: Custom Stock Footage

"Client" acknowledges that by purchasing services from "HD Werks, LLC" they agree to the following terms and conditions:

1. "Client" is scheduling a one (1) hour pre-production meeting which includes a non-refundable downpayment on Custom Stock Footage services outlined in these terms and conditions.  The pre-production meeting is conducted over Zoom video chat and includes a review of these Terms and Conditions, as well as the Scope of Services.  "Client" will receive a subsequent Calendly invitation to book and manage their "Production Day" as detailed in Scope of Services.   

2. Scope of Services: The "Client" understands and agrees to the scope of services of Custom Stock Footage as outlined in these terms:

   1. “Production Crews” and/or sub-contractors will provide on-site creative services not to exceed eight (8) hours.  This includes thirty (30) minutes of setup, two-fifteen (15) minute breaks, a thirty (30) minute lunch break, and thirty (30) minutes of equipment break down.

   2. “Production Crews” will arrive thirty minutes prior to start time for off-loading and liaison with "Client" personnel.  "Production Day" begins at 8am and ends at 4pm unless agreed upon in writing.  

   3. “Production Crews” will gather short video clips and still images.  Video clips will not exceed thirty (:30) seconds in length.  Video clips will be captured in frames rates of 24fps and 48fps.  Video clips will be captured in 4k UHD resolution with a 16x9 aspect ratio.  Still images will be gathered at a minimum of 12MP.

   4. "HD Werks, LLC" will deliver access to an online portal of ready-to-use video clips and still images within ten (10) business days after "Production Day".

   5. "HD Werks, LLC" makes no warranty about the exact quantity of assets acquired within an eight (8) hour production day, but will reasonably endeavor toward a minimum of 75 finished video clips and 25 finished still photos.  

   6. "Client" will have access to the online portal for a period of one (1) year from the date of portal launch.   

   7. "Client" owns the rights to all video clips and still images and may at any time download in whole or in part any or all assets for their exclusive use.

   8. Portals are private however uses may self-register with a company email and with the provided six digit Invitation Code.         

3. Payment Terms: The client agrees to abide by the payment terms herein specified as a deposit of ($500) due at the time of booking a pre-production meeting. The remainder will be due by invoice upon delivery of portal access, and is due upon receipt.  Failure to adhere to these terms may result in the suspension or termination of services.   

4. Responsibilities: Both parties acknowledge their respective responsibilities as outlined in this agreement. The client understands that their cooperation and timely provision of necessary information are essential for the successful completion of the services.

5. Limitation of Liability: The client acknowledges that HD Werks, LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating to the services provided, including but not limited to loss of profits, data, or business interruption.

6. Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement.

7. Governing Law: This agreement shall be governed by and construed in accordance with the laws of Stark County, Ohio and any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Stark County, Ohio.             ​​

By making payment and booking services provided by HD WERKS, LLC the client acknowledges that they have read, understood, and agree to abide by the terms and conditions outlined in this disclaimer.
