Terms and Conditions: Custom Stock Footage

"Client" acknowledges that by purchasing services from "HD Werks, LLC", they agree to the following terms and conditions:

1. Definitions and Scope of Services

“Client” is scheduling a one (1) hour pre-production meeting for Custom Stock Footage services outlined in these terms and conditions. The pre-production meeting will be conducted via Zoom video chat, where the Terms and Conditions and Scope of Services will be reviewed. The "Client" will then receive a subsequent online invitation to make full payment to book and subsequently manage their "Production Day" as detailed below.

2. Production Day and Responsibilities

The “Production Crew” and/or sub-contractors will provide on-site creative services not to exceed five (5) hours, which includes fifteen (15) minutes for setup, fifteen (15) minutes for break, and thirty (30) minutes for equipment breakdown. “Production Crew” will arrive ten (10) minutes before the scheduled start time to off-load equipment and liaise with "Client" personnel. “Production Day” will begin at 8:00 AM and end no later than 1:00 PM, unless otherwise agreed upon in writing.​

• “Production Crew” will capture short video clips (not exceeding thirty [30] seconds each) in 4K UHD resolution, 16:9 aspect ratio, and 60fps, allowing for standard motion and slow-motion. Vertical video clips will be repurposed where appropriate. Still images will be gathered at a minimum of 12MP resolution.

3. Asset Delivery

“HD Werks, LLC” will deliver the final video assets via a password-protected transfer link within 24 hours of the “Production Day”. Final assets will include up to 50 finished video clips and 10 finished still images.

"Client" will have access to the transfer link for a period of one (1) year from the date of “Production Day”. After the one-year access period, assets will be permanently deleted unless otherwise agreed upon in writing.

4. Payment Terms

The Client agrees to the following payment structure:

• Full payment is due at the time of booking the “Production Day” after the Pre-Production meeting.

5. Confidentiality and Data Protection

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. “HD Werks, LLC” commits to protecting the confidentiality of all client data and assets. All materials will be securely stored with password protection, and access will only be granted to authorized personnel. After the one-year access period, client assets will be permanently deleted unless otherwise agreed upon.

6. Indemnification

The Client agrees to indemnify and hold harmless HD Werks, LLC, its employees, agents, and contractors from any claims, damages, or liabilities arising from the use of footage produced under this agreement, including any copyright infringement, third-party claims, or unauthorized uses of the footage.

7. Limitation of Liability

The total liability of HD Werks, LLC for any claim arising out of or relating to the services provided shall not exceed the total fees paid by the Client under this agreement.

8. Force Majeure

Neither party shall be liable for failure to perform its obligations under this agreement due to causes beyond its reasonable control, including but not limited to natural disasters, government restrictions, pandemics, or labor strikes.

9. Dispute Resolution

Any disputes arising from this agreement will first be addressed through mediation in Stark County, Ohio. If mediation is unsuccessful, the dispute will be resolved through binding arbitration, with the jurisdiction remaining in Stark County, Ohio.

10. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Stark County, Ohio, and any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Stark County, Ohio.

11. Amendments or Modifications

Any amendments or modifications to this agreement must be made in writing and signed by both parties.

By making payment and booking services provided by HD Werks, LLC, the Client acknowledges that they have read, understood, and agree to abide by the terms and conditions outlined in this agreement.
